An accredited investor is an individual or entity that meets specific financial criteria established by the U.S. Securities and Exchange Commission (SEC), allowing them to invest in certain higher-risk and more complex investment opportunities.
1. Income Criteria
- Individual must have earned an income exceeding $200,000 in each of the past two years and expects to earn the same or more in the current year.
- If income is combined with a spouse or spousal equivalent, the joint income must exceed $300,000 for the past two years, with the expectation of maintaining that income level.
2. Net Worth Criteria
- Must have a net worth exceeding $1 million, either individually or jointly with a spouse or spousal equivalent, excluding the value of their primary residence.
3. Professional Experience and Knowledge
- Certain financial professionals, such as licensed brokers or individuals holding certain certifications (e.g., Series 7, Series 65, Series 82), can also qualify as accredited investors based on their professional experience and knowledge.
4. Entities
- Entities, such as banks, partnerships, corporations, nonprofits, or trusts, can qualify as accredited investors if they have total assets exceeding $5 million or if all the equity owners are accredited investors.
5. Other Qualifying Criteria
- Certain other entities, such as family offices with at least $5 million in assets under management and their clients, may also be considered accredited investors.
These criteria are in place to ensure that accredited investors have the financial sophistication and ability to bear the risks associated with investments that are not registered with financial authorities and therefore not subject to the same regulatory protections as other investments.
